Strategies4RXSavings Corporation, doing business as StrategiesRx (“Company,” “we,” “us,” or “our”), provides access to the Savings Hub Membership website, tools, databases, and related services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms of Use (the “Terms”). If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Services.
1. Who May Use the Services
The Services are offered to licensed pharmacies, healthcare organizations, and allied entities in the United States for business use only. You must be at least 18 years old and authorized to bind your organization. You represent that you will use the Services only for your internal business operations and not as a consumer.
2. Scope; No Medical, Legal, or Plan-Marketing Advice
The Services provide educational resources, workflow guidance, and discovery tools to help identify potential prescription-cost savings programs and pathways. The Services do not provide medical, legal, tax, compliance, or billing advice. Clinical decisions, coding, billing, and regulatory compliance remain solely your responsibility.
We do not sell, endorse, or compare specific health plans and the Services must not be used for plan-specific marketing or plan steering, including but not limited to communications governed by applicable Medicare Communications and Marketing requirements. If you choose to incorporate information from the Services into your own marketing or patient communications, you are solely responsible for ensuring such use complies with all applicable CMS rules and other laws.
We are not connected with or endorsed by the U.S. government or the federal Medicare program.
3. Subscriptions, Billing, and Cancellation
3.1 Membership is per pharmacy/healthcare location (address) unless expressly stated otherwise. Each covered location requires its own membership or an expressly permitted enterprise arrangement.
3.2 Subscriptions auto-renew each billing period until canceled. You authorize us (or our payment processor) to charge all applicable fees, taxes, and agreed add-ons to your payment method on file.
3.3 Prices, features, and inclusions may change. We will provide notice of material pricing or plan changes. Continued use of the Services after the effective date of a pricing change constitutes acceptance of the new pricing.
3.4 You may cancel at any time prior to your renewal date to avoid the next charge. Partial periods are not prorated unless required by law.
3.5 We may suspend or terminate access to the Services for non-payment. You remain responsible for all fees incurred prior to suspension or termination.
4. Refunds
Fees are prepaid and non-refundable except where legally required or expressly stated otherwise in writing. If you believe a charge is in error, contact us at info@strategies4rxsavings.com within 30 days.
5. Accounts and Authorized Users
You are responsible for maintaining the confidentiality of login credentials and for all activities under your account. Seats are individual and may not be shared. Each location requires its own membership or authorized seat allocation. You must ensure that your Authorized Users comply with these Terms. Notify us promptly of any unauthorized use or suspected security incident.
6. Acceptable Use
You agree to use the Services in compliance with these Terms and all applicable laws, including HIPAA, state privacy laws, and federal and state anti-kickback and beneficiary-inducement laws. Without limiting the foregoing, you will not:
You remain solely responsible for your interactions with patients, payers, manufacturers, foundations, and other third parties, and for your own billing and documentation practices.
7. Regulatory Compliance; No Inducements
Nothing in these Terms or in the Services is intended to provide or arrange for remuneration in exchange for, or to induce, the referral, ordering, purchasing, leasing, or recommending of any item or service reimbursable under a federal or state healthcare program.
You are solely responsible for structuring any fees, discounts, patient charges, or other financial arrangements related to your use of the Services (including any administrative fees you may charge) in compliance with all applicable federal and state laws, including without limitation the federal Anti-Kickback Statute, the Civil Monetary Penalties Law (including beneficiary- inducement provisions), and any safe harbor or state-law equivalents. We do not advise on, review, or guarantee that any particular arrangement complies with such laws.
8. PHI, HIPAA, and Business Associate Status
The Services are designed to avoid receipt of PHI. Do not input PHI into the platform. In the absence of a separate, duly executed Business Associate Agreement (BAA), we do not accept PHI and do not act as your Business Associate as defined by HIPAA.
If the parties agree in writing to exchange PHI, a separate BAA will govern that processing. If support requires PHI, you must limit disclosures to the minimum necessary and use secure channels. If you inadvertently submit PHI through the Services without a BAA in place, we may delete or de-identify such PHI, and you remain responsible for any required notices, mitigation, or regulatory reporting.
You are solely responsible for your own HIPAA compliance and for ensuring that your use of the Services, and any data you input, complies with HIPAA and other privacy and security laws.
9. Educational Focus; Program Limitations
Eligibility criteria, funding windows, formularies, prices, and payer rules may change without notice. Identification of a potential option is not a guarantee of approval, coverage, or specific savings. Manufacturer or foundation programs may be limited by diagnosis, income, insurance type, geography, or other criteria.
Manufacturer copay assistance is generally limited to commercially insured patients and is not permissible for federal program beneficiaries. You are responsible for confirming current program terms, eligibility criteria, and legal restrictions directly with the applicable manufacturer, foundation, payer, or other third party before relying on or communicating any option to a patient.
10. Intellectual Property; Limited License
We and our licensors own all right, title, and interest in and to the Services, including content, software, databases, designs, and trademarks. Subject to your compliance with these Terms and timely payment of fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.
You obtain no ownership rights in the Services. We reserve all rights not expressly granted.
11. Third-Party Programs and Links
References to third-party programs, foundations, manufacturers, discounts, or websites are for identification only and do not imply endorsement or sponsorship. Third-party sites and services are governed by their own terms and policies. We are not responsible for, and do not control, third-party content, decisions, or program availability.
12. Confidentiality
Each party may disclose business, technical, or other information that is marked or reasonably considered confidential (“Confidential Information”). The receiving party will protect the disclosing party’s Confidential Information with at least reasonable care and use it only to perform under these Terms. These obligations do not apply to information that is (a) publicly available without breach, (b) already known to the receiving party, (c) independently developed without use of Confidential Information, or (d) received from a third party without confidentiality obligations.
13. Privacy
Our collection and use of personal information is described in our Privacy Policy.
14. Modifications to the Services
We may enhance, modify, or discontinue features from time to time. If we make a material change that significantly reduces core functionality of a paid plan, we will use reasonable efforts to provide notice. We are not obligated to maintain any particular feature or roadmap.
15. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT RESULTS OR SAVINGS ARE GUARANTEED.
Without limiting the foregoing, we do not warrant that the Services will be uninterrupted, timely, secure, error-free, or compatible with your systems; that the information provided through the Services is complete, current, or free from inaccuracies; or that use of the Services will ensure your compliance with any law, payer rule, or program requirement.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS; LOSS OF DATA; OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICES DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. THESE LIMITATIONS APPLY TO ALL THEORIES OF LIABILITY, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE.
17. Indemnification
You will indemnify and hold us harmless from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from (a) your use of the Services, (b) your breach of these Terms, or (c) your violation of applicable law or third- party rights.
18. Suspension and Termination
We may suspend or terminate access to the Services immediately if you materially breach these Terms or if necessary to address a security, legal, or operational risk, including non-payment. Upon termination, your license ends and you must stop using the Services. Sections that by their nature should survive (including payment obligations accrued, confidentiality, IP, disclaimers, limitations of liability, and indemnification) will survive termination.
19. Governing Law and Venue
These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of- laws rules. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Maury County, Tennessee (or such other court of competent jurisdiction as may serve that region).
20. Changes to These Terms
We may update these Terms from time to time. If changes are material, we will provide notice by posting the revised Terms and/or by email. Your continued use of the Services after the effective date constitutes acceptance.
21. Assignment
You may not assign or transfer these Terms or your rights or obligations hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets, or to any affiliate that assumes our obligations.
22. Force Majeure
We will not be liable for delays or failures caused by events beyond our reasonable control, including acts of God, labor disputes, supplier failures, utility or internet interruptions, or governmental actions.
23. Independent Contractors; No Third-Party Beneficiaries
The parties are independent contractors, and nothing in these Terms creates a partnership, joint venture, agency, fiduciary, or employment relationship. There are no third-party beneficiaries to these Terms; no person other than the parties has any rights under or in connection with these Terms.
24. Miscellaneous
These Terms constitute the entire agreement between you and us regarding the Services and supersede all prior or contemporaneous agreements on the subject matter. If any provision is held unenforceable, it will be enforced to the maximum extent permissible, and the remainder will remain in effect. No waiver is effective unless in writing and signed by the waiving party. Failure to enforce any provision is not a waiver of future enforcement.
